Incorporating in Delaware is a HUGE mistake.

Over 50% of U.S. publicly traded corporations and 60% of Fortune 500 companies are incorporated in Delaware. You’ll notice these statistics say nothing about LLCs.

The fact is that Delaware is a good state to incorporate in… if you’re a regular C Corporation. Let me explain… Delaware is best suited for publicly traded companies that sell shares on the stock market for companies that have multiple investors. But here’s the problem… Most businesses don’t fall into that category.

If you form an LLC in Delaware you will fall into a few major issues.
1. You’ll need to register your Delaware as a Foreign LLC in your home state
2. Pay annually for a Registered Agent, and
3. Pay the Annual Reporting fees in both states every year

If you’re a typical business, you should incorporate in your home state. Even if you run an online business. You should incorporate in the state where you’re located and NOT Delaware.
